  2. CONCEPTO • Ficción legal instrumental consistente en dotar de capacidad jurídica y de obrar distinta de las de las personas que las componen a grupos de personas o masas de bienes con el objetivo de facilitar los fines que les son propios.

CLASES POR SU BASE • CORPORACIONES DE DERECHO PÚBLICO • Ayuntamientos • Diputaciones • Concejos • DE TIPO ASOCIATIVO • ASOCIACIONES SIN ÁNIMO DE LUCRO (voluntad de los asociados) (L.O Asoc. 1/2002) • SOCIEDADES (voluntad de los socios) • CIVILES • MERCANTILES • PERSONALISTAS • DE RESPONSABILIDAD LIMITADA • DE TIPO FUNDACIONAL • FUNDACIONES (voluntad del fundador que ejecutan los patronos)

CONCEPTOS CLAVE • LAS PERSONAS JURIDICAS ACTÚAN POR MEDIO DE SUS ÓRGANOS • EL OBJETO SOCIAL NO LIMITA LA CAPACIDAD DE OBRAR DE LAS PERSONAS JURIDICAS • LOS TERCEROS ESTÁN PROTEGIDOS FRENTE A ACTUACION ORGÁNICA QUE NO SUPERE LOS LIMITES DEL OBJETO SOCIAL, AUNQUE LA SOCIEDAD NO LA HAYA AUTORIZADO O INCLUSO LA HAYA PROHIBIDO. • A VECES EL ART. 6.4 CC PERMITE LEVANTAR EL VELO DE LA PERSONALIDAD E IMPUTAR A LAS PERSONAS FISICAS QUE LAS COMPONEN LAS CONSECUENCIAS DE LA ACTUACIÓN DE LA PERSONA JURÍDICA (EJ. STS 15.4.2005, RJ 6561; 10.2.2006, RJ 2812)
