PENUBUHAN SYARIKAT • 1. Pihak yang ingin menubuhkan syarikat perlu berurusan dengan Suruhanjaya Syarikat Malaysia (SSM). • 2. Proses ini bermula dengan proses pemilihan nama yang sesuai. • 3. Selepas kelulusan nama diperoleh, semua dokumen penubuhan yang berkaitan perlu diisi dan diserahkan kepada SSM beserta yuran yang telah ditetapkan. 

  3. JENIS-JENIS SYARIKAT • SOLE PROPRIETORSHIP/INDIVIDU • PARTNERSHIP/PERKONGSIAN • COMPANY/SYARIKAT • TRUST /AMANAH

  4. A sole proprietorship • A sole proprietorship (or sole trader) is a situation where the owner of a business is synonymous with the firm. • Advantages: –ease of formation –total control over the business – relatively cheap to set up – few regulations

  5. PARTNERSHIP • A relationship between people carrying on a business in common, with a view to sharing profit • Advantages: –ease of formation –ease of operation – distinct existence – combined resources and direct rewards

  6. PARTNERSHIP-DISADVANTAGE • Disadvantages: –unlimited joint liability –potential conflicts –lack of continuity

  7. COMPANY-SYARIKAT • company is a separate legal entity which has an existence independent of its owners and managers (private and public companies) • Advantages: –perpetual existence –limited liability –rights of a natural person

  12. SYARIKAT SENDIRIAN BHD. • Penyata kewangan syarikat boleh dirahsiakan daripada umum. • Liabiliti pemegang saham adalah terhad. • Syarikat ditadbir oleh Lembaga Pengarah yang dilantik di kalangan pemegang-pemegang saham.
